Terms of Service

Last updated: June 20, 2026

Acceptance of Terms

By accessing or using the Ephemera website and software, you agree to be bound by these Terms of Service. If you do not agree, please do not use our services.

Beta Software Disclaimer

Ephemera is currently in beta. The software is provided on an “as-is” and “as-available” basis. Features may change, break, or be removed without notice. We do not guarantee uptime, data persistence, or compatibility during the beta period.

License

During the beta period, Ephemera grants you a limited, non-exclusive, non-transferable, revocable license to use the software for personal and professional music production. You may not reverse-engineer, decompile, or redistribute the software.

User Conduct

You agree not to:

  • Use Ephemera for any unlawful purpose
  • Attempt to gain unauthorized access to our systems or services
  • Distribute malware or interfere with the operation of the software
  • Misrepresent your identity or affiliation when using our services

Intellectual Property

All content, code, and assets of Ephemera are the property of Ephemera and its creator. Music and audio content you create using Ephemera remains your property. We claim no ownership over your creative output.

User Content & the Almanac

Some features (such as the Almanac) let artists submit content — audio recordings, artwork, names, biographies, and links (“User Content”). You retain ownership of your User Content. By submitting it, you grant Ephemera a worldwide, non-exclusive, royalty-free, revocable license to host, store, reproduce, encode, stream, and display that content solely to operate, promote, and improve the service. This license ends when you remove your content or your account is closed, except for copies retained in routine backups for a limited period.

By submitting User Content, you represent that:

  • You own it or have all rights, licenses, and permissions needed to submit it and grant the license above
  • It does not infringe any copyright, trademark, privacy, publicity, or other right of any third party
  • It is not unlawful, defamatory, hateful, deceptive, or malicious, and contains no malware

We may review, refuse, remove, or disable access to any User Content at our discretion — for example, if we believe it violates these terms or the law. You are solely responsible for the content you submit.

Copyright Complaints (DMCA)

We respect intellectual property rights and respond to valid notices under the Digital Millennium Copyright Act (DMCA). If you believe content on Ephemera infringes your copyright, send a written notice to our designated agent at copyright@ephemera.fm including: (1) your physical or electronic signature; (2) identification of the copyrighted work; (3) identification of the allegedly infringing material and where it is located; (4) your contact information; (5) a statement that you have a good-faith belief the use is not authorized; and (6) a statement, under penalty of perjury, that the information is accurate and that you are the owner or authorized to act on the owner's behalf.

We will remove or disable access to material that is the subject of a valid notice, notify the affected user, and terminate the accounts of repeat infringers. Affected users may submit a counter-notification with the information required by the DMCA.

Limitation of Liability

To the fullest extent permitted by law, Ephemera shall not be liable for any indirect, incidental, special, consequential, or punitive damages arising from your use of the software, including but not limited to data loss, audio corruption, or project file incompatibility.

Termination

We may suspend or terminate your access to Ephemera at any time, with or without cause, during the beta period. Upon termination, your license to use the software ceases immediately.

Changes to These Terms

We may update these terms from time to time. Continued use of Ephemera after changes are posted constitutes acceptance of the revised terms. We will notify beta users of significant changes via email.
